(Nasdaq: BAMB), a leading Internet imaging service and content provider, announced today that the companies' Joint Proxy Statement/Prospectus relating to the previously announced merger of the two companies has been declared effective by the Securities and Exchange Commission and filed electronically.

Proxy materials will be mailed to stockholders on or about December 20, 1999. The companies also set their respective stockholder record and special stockholder meeting dates.
